And that is the easy part.
Today, setting up a Spanish limited company (SL) is almost a formality: standard articles of association, share capital from €1 and online incorporation in a few days through CIRCE and the Business Start-up Points (PAE). Cheap, fast and accessible.
The problem is not the entry cost but everything that comes afterwards: bookkeeping, quarterly and annual taxes, annual accounts filed with the Companies Register, advisory fees… An indicative fixed cost of around €3,000 a year that you will pay whatever your level of activity.
Before signing in front of a notary, ask yourself
- Will you need financing in the medium term?
- Will third parties invest, or will you put in your own capital?
- Who will be the director?
- How will you split the shares between partners?
- What tax and accounting obligations will you take on?
Think first; act later. The company is the tool you invoice through, not the starting point, and choosing that tool well makes the difference between orderly growth and dragging problems from day one.
